Interactive chatbot platform Character.AI has filed for Chapter 11 bankruptcy just five years after its founding, reporting assets and liabilities between $50 million and $100 million. CEO Colin Adams stated that the court-supervised sale process offers the best opportunity to maximize value for stakeholders amid significant legal, regulatory, and operational headwinds. As part of this transition, the startup agreed to sell some of its assets to Disney for $20 million alongside a non-exclusive perpetual license for its technology.

Founded in late 2021 by former Google engineers Noam Shazeer and Daniel De Freitas, the startup quickly achieved unicorn status and gained massive user engagement. However, the company faced severe challenges following a lawsuit related to a user's suicide and subsequent regulatory scrutiny regarding child safety, leading to leadership changes and a pivot away from training foundation models. Despite reaching 20 million monthly active users, the high costs of scaling and maintaining an AI platform ultimately outweighed monetization efforts.

The bankruptcy filing highlights the immense financial difficulties involved in scaling and monetizing consumer-facing artificial intelligence applications where high user engagement directly drives up operational costs.
